Terms and conditions
• Applicants will be required to agree to the MBSA Donation terms and conditions.
• Former recipients of the MBSA SED/CSR funding are eligible to apply
• In instances where one or some of the required supporting documentation cannot be submitted, a letter signed by the NPO’s directors must be provided indicating the reasons motivating the exclusion of a required document.
• No applicant may use MBSA’s, Mercedes-Benz’s or any Mercedes-Benz Group company’s name, logo, trademark, image, branding or other intellectual property in any publication, announcement, media release, signage, promotional material, merchandise or communication without MBSA’s prior written approval. Any approved communication must remain consistent with the charitable nature of the donation and must not create sponsorship, advertising or endorsement rights unless separately approved and contracted.
• MBSA reserves the right to request additional information, conduct further due diligence, require internal approvals, decline any proposal, withdraw or suspend consideration of a proposal, or require a written donation agreement before any funds are disbursed.
• MBSA reserves the right, at any time and for any reason, to amend, supplement, suspend, cancel, withdraw, reissue or terminate this call for proposals, in whole or in part, without incurring any liability to any applicant or prospective applicant.
• MBSA does not guarantee that any proposal will be accepted, that any donation will be awarded, or that any applicant will receive funding. Submission of a proposal does not create any entitlement, legitimate expectation, contractual relationship, partnership, sponsorship arrangement, procurement process or obligation on MBSA to proceed with an award. Applicants participate in this process at their own cost and risk, and MBSA will not be liable for any costs, expenses, losses or damages incurred in preparing, submitting or participating in this call for proposals.
• MBSA shall not be obliged to provide reasons for the acceptance, rejection, suspension, withdrawal or non-selection of any application, and MBSA’s decision in respect of the allocation of donations shall be final.
• Any award is conditional upon successful completion of MBSA’s internal approval processes, due diligence checks, budget release requirements and execution of MBSA’s donation terms and conditions, standard donation agreement or any other documentation required by MBSA. Completion of due diligence or notification of shortlisting shall not create any obligation on MBSA to approve or disburse funding.
• Applicants are subject to sanctions and compliance screening as part of MBSA's due diligence process. MBSA reserves the right to reject any application where sanctions, legal, regulatory or compliance risks are identified.
• If MBSA determines that any information supplied by an applicant was false, misleading, inaccurate or incomplete, or that donated funds were used for any purpose other than the approved charitable purpose, MBSA may suspend funding, terminate the donation arrangement, withdraw or cancel any award, and recover all or part of the donated funds.
• MBSA and its authorised representatives may, on reasonable notice, inspect or request records, supporting documentation, project activities, financial information and evidence relating to the donation in order to verify compliance with the approved purpose, use of funds, reporting obligations and applicable MBSA requirements.
• Applicants must promptly notify MBSA of any material change affecting the applicant, its governance, legal status, tax status, charitable status, financial position, key personnel, implementation partners, project arrangements, conflict of interest disclosures, sanctions status or any information provided in the application.
• No applicant may directly or indirectly offer, promise, give, request or accept any gift, hospitality, inducement, facilitation payment, benefit or other advantage to or from any MBSA employee, director, trustee, representative or related party in connection with this call for proposals or any SED donation.
• Applicants warrant that neither the applicant nor any of its directors, trustees, office bearers, beneficial owners, implementation partners, intermediaries or material third parties are subject to applicable sanctions, trade restrictions, debarment, official watchlists or other legal prohibitions, and must notify MBSA immediately if this changes.
• Donations may only be used for the approved project and may not be transferred, assigned, redirected, applied for the benefit of any other organisation or person, or used for loans, debt reduction, individual case assistance, political activities, religious propagation, commercial benefit or any unapproved purpose without MBSA’s prior written approval.
